General terms and conditions

1. Definitions

In these terms, bynd. means: the sole proprietorship bynd., located at Vrolikstraat 289-2, 1091 VC Amsterdam, registered with the Dutch Chamber of Commerce under number 77507819, with VAT number NL003203364B40. Client means: the party that enters into an agreement with bynd. or submits a request to do so.

2. Applicability

These terms apply to all quotes, agreements and services of bynd., unless agreed otherwise in writing. Deviations only apply when they have been confirmed in writing in advance.

3. Offers and agreements

All quotes from bynd. are without obligation and valid for thirty days, unless stated otherwise. An agreement is concluded the moment the client accepts a quote or proposal in writing or by email.

4. Execution of the assignment

bynd. carries out the assignment to the best of its insight and ability. The agreements about this count as an obligation of effort, not an obligation of result, unless a concrete result has been explicitly promised. The client makes sure that all information and access bynd. needs is available on time.

5. Rates and payment

All amounts are exclusive of VAT, unless stated otherwise. Invoices are paid within fourteen days of the invoice date. In case of late payment the client is in default by operation of law and bynd. is entitled to charge the statutory commercial interest and reasonable collection costs.

6. Changes and cancellation

A scheduled appointment can be moved or cancelled free of charge by replying to the invitation. For ongoing assignments, changes in scope or approach are recorded in consultation, with the consequences for planning and costs discussed in advance.

7. Intellectual property

Unless agreed otherwise, the right to use work delivered by bynd. transfers to the client after full payment. bynd. keeps the right to refer to the executed work in general terms for its own promotion, without sharing confidential information.

8. Liability

The liability of bynd. is limited to the amount invoiced for the assignment in question. bynd. is not liable for indirect damage, including consequential damage, lost profit or damage caused by outages in third party services.

9. Confidentiality

Both parties treat all confidential information they receive in the course of the collaboration as strictly confidential and do not share it with third parties without permission.

10. Data processing and privacy

Insofar as bynd. processes personal data while carrying out an assignment, it does so in accordance with the GDPR and with the privacy policy of bynd. Where bynd. processes personal data on behalf of the client, the parties record this in a data processing agreement on request. bynd. engages external services as subprocessors for this; these do not use the data to train AI models.

11. Governing law

All agreements with bynd. are governed by Dutch law. Disputes are submitted to the competent court in the district where bynd. is located. These terms were originally drafted in Dutch; if the Dutch and English versions differ, the Dutch version prevails.
